These Terms of Service (“Terms”) govern your access to and use of the Stoned Gems website, online store, products, services, features, content and related services (collectively, the “Services”).

The Services are operated by STONED GEMS CO., doing business as Stoned Gems (“Stoned Gems”, “we”, “us” or “our”).

By accessing our website, creating an account, placing an order, purchasing a product or otherwise using the Services, you agree to these Terms.

If you do not agree with these Terms, please do not use the Services.

Nothing in these Terms limits or excludes any rights or remedies that cannot lawfully be limited or excluded under applicable Canadian federal, provincial or territorial law.

6. CAFFEINE AND ENERGY PRODUCTS

Any warnings, contraindications or maximum-use instructions shown on the product label form part of the conditions under which the product is sold.

7. PRODUCT INFORMATION

We make reasonable efforts to display accurate product information, including:

product descriptions;
photographs;
ingredients;
quantities;
flavours;
pricing;
packaging; and
availability.

However, packaging, colours, appearance and other non-material product characteristics may occasionally differ from website photographs because of packaging updates, manufacturing changes, screen displays or similar factors.

We may correct typographical, pricing or product-information errors at any time.

Material product information required by law will not knowingly be misrepresented.

8. ORDERS

Submitting an order does not necessarily mean that we have accepted it.

Your order is an offer to purchase the selected products.

We may accept, decline or cancel an order where reasonably necessary, including because of:

inventory shortages;
payment authorization problems;
suspected fraud;
incorrect pricing;
website or technical errors;
shipping restrictions;
regulatory restrictions;
suspected resale or abuse;
promotional-code abuse; or
circumstances outside our reasonable control.

If we cancel an order after payment has been successfully processed, we will refund the applicable amount using the original payment method unless otherwise required or agreed.

We will not cancel an order solely to avoid obligations imposed by applicable consumer-protection legislation.

9. ORDER CONFIRMATION

After an order is placed, we will provide an electronic confirmation or receipt containing the information required by applicable law.

You are responsible for reviewing your order information before completing your purchase.

Our checkout process is intended to provide you with an opportunity to identify and correct ordering errors before submitting the order.

We cannot guarantee that an order can be changed after fulfillment has begun.

10. PRICES

Unless otherwise stated, prices displayed on our Canadian website are in Canadian dollars (“CAD”).

Applicable sales taxes and shipping charges will be shown as required during checkout.

Where an advertised price is clearly the result of a genuine technical or typographical error, we may correct the error before accepting the order, subject to applicable consumer-protection laws.

We will not impose undisclosed mandatory non-government charges after displaying a price where doing so would violate applicable law.

11. PAYMENT

We may accept payment through credit cards, debit cards, digital wallets, payment processors or other payment methods displayed at checkout.

Orders may be delayed, declined or cancelled if they are flagged for suspected unauthorized activity, identity misuse, payment fraud, chargeback abuse or other suspicious activity.

We may request reasonable verification before fulfilling an order.

We will handle personal information collected during verification in accordance with applicable privacy law and our Privacy Policy.

13. PROMOTIONS AND DISCOUNT CODES

From time to time, Stoned Gems may offer:

discount codes;
promotional prices;
free-shipping offers;
giveaways;
bundles;
gifts with purchase;
limited-time offers; or
similar promotions.

Additional terms may apply to a promotion.

Unless otherwise expressly stated:

discount codes cannot be exchanged for cash;
discount codes cannot be applied retroactively;
promotions cannot necessarily be combined;
promotions may exclude specified products;
one code may be permitted per transaction;
promotions may be limited by customer, household or order; and
promotions may have stated expiry dates.

Any material restrictions will be disclosed in connection with the applicable offer.

We reserve the right to cancel or refuse promotional benefits obtained through fraud, automation, manipulation, duplicate accounts or other abuse.

Nothing in this section permits Stoned Gems to make deceptive or misleading promotional claims.

14. SHIPPING

Shipping options, available destinations, estimated delivery periods and applicable charges will be displayed on the website or during checkout.

Delivery times are estimates unless expressly stated otherwise.

Delays may occur because of carriers, severe weather, labour disruptions, emergencies, high-volume periods, address problems or other circumstances outside our reasonable control.

Nothing in these Terms limits any statutory cancellation or refund right arising because an order was not delivered within a period required by applicable consumer-protection law.

You are responsible for providing a complete and accurate shipping address.

15. FAILED OR INCORRECT DELIVERY INFORMATION

If a package is returned because you supplied an incorrect or incomplete address, we may require payment of reasonable additional shipping costs before reshipping the order, where permitted by law.

If an error was caused by Stoned Gems, we will correct it without charging you additional shipping fees.

16. LOST, DAMAGED OR MISSING ORDERS

Please inspect your shipment after delivery.

If your order arrives damaged, contains the wrong product, is incomplete or appears to have been lost during shipment, contact us at:

Please provide your order number and, where reasonably necessary, photographs or other information that helps us investigate the issue.

Our voluntary return or replacement procedures do not restrict rights available to you under applicable law.

17. RETURNS AND REFUNDS

Our voluntary returns, refunds and exchange rules are described in our Refund & Return Policy, which forms part of these Terms.

Because some Stoned Gems products are ingestible health or wellness products, we may be unable to accept returns of opened products for health, hygiene or safety reasons, except where required by law or where the product is defective, damaged, incorrect or otherwise eligible for a legal remedy.

Any voluntary return policy operates in addition to, and not instead of, any non-waivable consumer rights provided by Canadian federal, provincial or territorial law.

18. STATUTORY CANCELLATION RIGHTS

Consumers may have cancellation, rescission, refund, charge-reversal or other rights under the laws of their province or territory.

Those rights may apply regardless of anything stated in our voluntary refund policy.

Where applicable law grants you a right that cannot legally be waived, these Terms will be interpreted to preserve that right.

Nothing in these Terms shortens a statutory cancellation period or eliminates a statutory remedy.

19. SUBSCRIPTIONS AND RECURRING ORDERS

If Stoned Gems offers subscriptions or recurring-order programs, the applicable subscription terms will be clearly disclosed before enrollment.

Those terms may include:

billing frequency;
product quantity;
price;
renewal frequency;
cancellation procedures;
minimum commitments, if any; and
material restrictions.

Recurring charges will not be imposed without the authorization required by applicable law.

Where subscriptions are offered, customers may cancel them using the method disclosed during enrollment and any additional method required by applicable law.

20. PRODUCT AVAILABILITY

All products are subject to availability.

We may change or discontinue products at any time.

Displaying a product on our website does not guarantee that the product will remain in stock.

Where a purchased product becomes unavailable before fulfillment, we may cancel and refund the affected item.

Unless we expressly authorize otherwise, products sold through the retail Stoned Gems website are intended for personal use.

You may not purchase products for unauthorized commercial resale, diversion, export or distribution.

You agree to provide accurate information and keep your account information current.

You are responsible for safeguarding your password and credentials.

Notify us promptly if you believe your account has been accessed without authorization.

packaging artwork;
written content;
videos;
icons;
software; and
other creative material.

You may access website content for personal, non-commercial use.

You may not reproduce, modify, distribute, sell, commercially exploit or create derivative works from protected content without permission, except where permitted by law.

25. TRADEMARKS

“Stoned Gems”, Stoned Gems logos, product names, slogans and associated branding may constitute trademarks or other proprietary identifiers.

No licence to use these identifiers is granted except as expressly authorized by us.

26. REVIEWS, PHOTOS AND USER CONTENT

If you voluntarily submit a product review, testimonial, photograph, video, comment or other content to Stoned Gems (“User Content”), you represent that:

you have the right to submit it;
it reflects your genuine experience where presented as a testimonial;
it does not knowingly contain false or misleading information;
it does not infringe another person’s rights; and
it does not contain unlawful material.

By submitting User Content for public posting, you grant Stoned Gems a non-exclusive, worldwide, royalty-free licence to reproduce, display, publish, format and use that content in connection with our website, products and marketing, subject to applicable law.

We will not materially alter a testimonial in a way that misrepresents the reviewer’s experience.

We may remove reviews or User Content that are fraudulent, unlawful, abusive, irrelevant, spam or otherwise violate these Terms.

We will not remove legitimate negative reviews merely because they are negative.

27. THIRD-PARTY WEBSITES AND SERVICES

Our website may contain links to third-party websites or integrate third-party services.

Stoned Gems does not control third-party websites and is not responsible for their content, security or privacy practices.

Your use of third-party services may be governed by separate terms.

29. COMMERCIAL ELECTRONIC MESSAGES

Marketing emails, SMS messages and other commercial electronic messages will be sent in accordance with applicable Canadian law.

Where consent is required, we will seek it in the manner required by law.

You may unsubscribe from promotional electronic communications using the unsubscribe mechanism provided in the applicable message.

Transactional communications relating to an existing order, account, safety notice, recall or other service matter may still be sent where permitted by law.

30. NO GUARANTEE OF INDIVIDUAL RESULTS

Responses to supplements and wellness products can vary significantly between individuals.

Stoned Gems does not guarantee a specific:

energy level;
mood;
physical result;
athletic result;
productivity level;
recovery result;
weight-related result; or
health outcome,

unless a specific guarantee is expressly provided in writing and is lawful.

Nothing in this section limits representations or warranties that cannot legally be excluded.

31. PROPER PRODUCT USE

You agree to use products only as reasonably intended and in accordance with:

the product label;
recommended dose;
warnings;
contraindications;
storage instructions; and
applicable law.

You are responsible for reviewing these instructions before use.

Do not use a product after its expiry date or if packaging appears materially damaged or tampered with.

32. RECALLS AND SAFETY NOTICES

If we become aware of a product recall, material safety issue or regulatory direction affecting a product we sold, we may take reasonable steps to contact affected customers using the information associated with their order.

34. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Stoned Gems and its directors, officers, employees, contractors and affiliates will not be liable for indirect, incidental, special or consequential damages arising solely from your use of the website where such liability can legally be excluded.

This limitation does not apply where liability cannot lawfully be excluded or limited.

In particular, nothing in these Terms is intended to exclude or limit liability for:

fraud;
fraudulent misrepresentation;
wilful misconduct;
gross negligence where liability cannot lawfully be excluded;
death or personal injury to the extent caused by conduct for which liability cannot legally be excluded;
breaches of mandatory consumer-protection legislation; or
any other liability that applicable law prohibits us from excluding.

The rights available to consumers under applicable federal, provincial and territorial laws remain unaffected.

35. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify Stoned Gems against reasonable losses, liabilities or expenses arising directly from your unlawful use of the Services, infringement of another person’s rights, fraudulent activity or material violation of these Terms.

This provision does not require a consumer to indemnify Stoned Gems for our own unlawful conduct, negligence or breach of obligations imposed on us by law.

36. FORCE MAJEURE

To the extent permitted by applicable law, Stoned Gems will not be responsible for delays or failures caused by events outside our reasonable control, including:

natural disasters;
severe weather;
fires;
floods;
epidemics;
governmental actions;
transportation disruptions;
carrier interruptions;
labour disruptions;
utility failures;
telecommunications failures; or
other comparable events.

This clause does not remove statutory refund or cancellation rights that arise despite such circumstances.

37. CHANGES TO THE SERVICES

We may modify, suspend or discontinue website functionality, product offerings or features from time to time.

Changes will not retroactively eliminate rights that have already accrued under a completed consumer transaction where doing so would be prohibited by law.

38. CHANGES TO THESE TERMS

We may update these Terms when necessary to reflect changes in our Services, business practices or applicable law.

The revised Terms will display an updated effective date.

Material changes will apply prospectively unless applicable law permits otherwise.

For transactions already completed, the version of the Terms applicable when the transaction was entered into will generally continue to govern that transaction unless otherwise required by law.

39. GOVERNING LAW

Subject to mandatory consumer-protection laws and jurisdictional rights applicable to you, these Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

Nothing in this section requires a consumer to waive the application of mandatory consumer-protection law in their province or territory of residence.

Nothing in these Terms restricts your right to make a complaint to a regulatory authority, consumer-protection authority, court or other body where that right is provided by law.

Where a dispute must be resolved judicially, jurisdiction will be determined in accordance with applicable Canadian law.

41. QUEBEC CUSTOMERS

Where Quebec law applies, these Terms and the purchasing process will be interpreted subject to mandatory Quebec consumer-protection and language requirements.

Nothing in these Terms is intended to waive any right granted to a consumer under Quebec law.

Where legally required, a French version of these Terms and related contractual documents must be made available in accordance with applicable Quebec language legislation before a customer chooses to be bound by a version in another language.

42. PROVINCIAL AND TERRITORIAL CONSUMER RIGHTS

Consumer-protection legislation differs across Canada’s provinces and territories.

If a provision of these Terms conflicts with a mandatory statutory right applicable to you, the mandatory statutory right takes precedence to the extent of the conflict.

Any provision of these Terms that purports to waive a non-waivable consumer right will be ineffective to that extent.

43. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it lawful where possible.

The remaining provisions will continue in effect.

44. NO WAIVER

Our failure to enforce a provision of these Terms on one occasion does not permanently waive our right to enforce that provision or any other provision.

45. ASSIGNMENT

You may not assign your rights or obligations under these Terms without our consent where consent may lawfully be required.

Stoned Gems may transfer its rights and obligations as part of a legitimate merger, acquisition, corporate restructuring or sale of the business, subject to applicable law and consumer rights.

46. ENTIRE AGREEMENT

These Terms, together with applicable policies expressly incorporated into them, including our Privacy Policy and Refund & Return Policy, constitute the agreement governing your use of the Services.

Product-specific warnings, instructions and conditions appearing on a product label also apply to your purchase and use of that product.
